Acquisition or Amalgamation – Hospital Pharmacy

An amalgamation takes place when two or more corporations, known as predecessor corporations, combine their businesses to form a new successor corporation.

An acquisition takes place when there is a change in corporate ownership resulting in a new corporation number.

Both are equivalent to opening a new hospital pharmacy and may require an assessment before opening day.

Step 1: Submit an Application for a Certificate of Accreditation as a Hospital Pharmacy

A complete application must be submitted to the College at least 30 days prior to the proposed transaction date and include the following:

  1. Application for Certificate of Accreditation as a Hospital Pharmacy
  2. Application fee
  3. A corporation profile report for the operating corporation printed within the past 30 days.
  4. A copy of the articles of incorporation for the new operating corporation (only required if the corporation has never operated a hospital pharmacy in Ontario)
    or
    A copy of the articles of amalgamation for the new operating corporation (to be submitted once the amalgamation is complete)
  5. For-profit corporations must also submit signed copies of all current share certificates for the new operating corporation (for amalgamation transactions, the share certificates need to be submitted once the amalgamation is complete)

Applications may be submitted by email to pharmacyapplications@ocpinfo.com, faxed to 416-847-8399 or mailed to the Ontario College of Pharmacists to the attention of Pharmacy Applications & Renewals at 483 Huron St, Toronto, ON M5R 2R4.

Step 2: Opening Day

The College will activate the pharmacy’s new accreditation number which will have a profile on the College’s Find a Pharmacy or Pharmacy Professional tool. A certificate of accreditation will be sent by email to the Designated Contact of the pharmacy — display of the certificate in the pharmacy is optional.

IMPORTANT NOTE: Amalgamations: The College will not activate the new pharmacy until the Articles of Amalgamation (and share certificates if the new corporation is for-profit) are received.
